Strategic cooperation framework agreement

Party A: Beijing Foton International Trade Co., Ltd.

II. Scope and Principles of Cooperation

4. Business Model: All overseas customer orders from Party B shall be contracted directly between Party B and foreign clients, with payments collected by Party B. Subsequently, Party B will sign contracts with Party A and make payments to Party A. Party A shall be responsible for export customs declaration, tax rebate, and other export-related matters.

5. E-commerce Operations on Online Platforms: Party A will provide Party B with information regarding Foton export vehicle models (including technical specifications, images, videos, and other materials). Party B will upload these products onto its e-commerce platform, handle online promotion and traffic generation, and organize dedicated personnel for handling business negotiations related to inquiries and leads.

6. Business Goals: By mutual agreement, the annual target for 2025 is set at 100 units of Foton series vehicles exported and sold by Party B on behalf of Party A. Based on actual progress, both parties may deepen cooperation in the area of export agency business, details of which shall be discussed separately.

III. Confidentiality Obligations

1. All documents exchanged between the two parties (including documents in paper and other media formats), client information, vehicle model pricing, and other data are considered confidential. Both parties shall properly safeguard such information and must not use it for any purpose unrelated to their cooperation or disclose it to third parties without prior written consent. Any party violating this confidentiality clause and causing losses shall bear legal responsibility and provide compensation. This confidentiality clause shall remain effective regardless of the termination of this agreement for any reason.

IV. Cooperation Mechanism

1. Establishment of a Mutual Visit and Communication Mechanism:

The two parties will establish an irregular mutual visit mechanism to timely report on the progress of cooperation and maintain long-term communication mechanisms to promptly discuss and resolve relevant issues during development, jointly promoting the smooth implementation of related projects.

2. Establishment of a Work Promotion Mechanism:

After signing this agreement, both parties agree to immediately advance follow-up cooperation matters within the framework of this agreement. Each party will appoint specific personnel to handle daily communication tasks, including coordination and facilitation of work, to ensure the effective implementation of this agreement. Specific cooperation projects will be governed by separate agreements under the principle of case-by-case discussion.

V. Effectiveness, Termination, and Cancellation of Agreement

• 1. The validity period of this agreement is one year, from May 19, 2025, to May 19, 2026. Upon expiration, if both parties intend to continue cooperation, a new agreement shall be signed.
• 2. This agreement shall comply with the relevant laws, regulations, and industry policies of the People's Republic of China. If there is any conflict between this agreement and the laws, regulations, or policy documents promulgated by the People’s Republic of China, the laws, regulations, and policy documents of the People’s Republic of China shall prevail.
• 3. This agreement shall terminate upon occurrence of any of the following facts:
  • (1) The term of this agreement expires;
  • (2) One party breaches the terms of this agreement and the other party requests termination;
  • (3) Both parties mutually agree to cancel this agreement.
• 4. If due to national laws, policies, regulations, government authorities' requirements, force majeure, or other reasons, this agreement cannot be continued, the agreement shall be terminated, and neither party shall hold the other liable.

VI. Dispute Resolution

Any disputes arising from or relating to this agreement shall be resolved through consultation between the two parties. If no resolution can be reached through consultation, either party may file a lawsuit with the people's court located in the place where Party A resides.

VII. Other Matters

• 1. Any matters not covered in this agreement shall be supplemented by written supplementary agreements negotiated by both parties.
• 2. Both parties have confidentiality obligations regarding the contents of this agreement and shall not disclose them to third parties without prior written consent.
